Terms of Service

Welcome to Herosite. These Terms of Service (the "Terms") are a binding agreement between you and Intoria Inc. ("Intoria", "we", "us", or "our"), which operates the Herosite service. Herosite is a product of Intoria Inc., based in Alberta, Canada. By creating an account, making a purchase, or otherwise using Herosite (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Herosite helps small businesses get online. Through a short guided interview, Herosite uses artificial intelligence to generate marketing copy, a logo, and a website, and can publish and host that website for you. We refer to our customers as "citizens." These Terms apply across our domains, including herosite.com and its subdomains, and myherosite.com. The Service, its features, and its pricing may change over time.
2. Beta service
Herosite is currently offered as a beta during our launch phase (approximately May to August 2026). The Service is provided on an "as available" basis, may be incomplete, may change or be discontinued at any time, and may contain errors or be interrupted without notice. You use the beta at your own risk. We are under no obligation to provide support, maintenance, or updates, or to preserve any content or output generated during the beta.
3. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use Herosite. If you use Herosite on behalf of a business, you represent that you are authorized to bind that business to these Terms. You are responsible for keeping your account credentials secure and for all activity under your account. You must provide accurate information and keep it current. We may refuse, suspend, or terminate accounts at our discretion.
4. Payments, billing, and refunds
Some features require payment. Prices are shown before purchase, in the currency indicated. Payments are processed by our third-party payment processor, Stripe; by paying, you authorize us and Stripe to charge your payment method for the amounts due, including applicable taxes. You are responsible for all charges incurred under your account. If a payment fails or is reversed, we may suspend or terminate your access. Except where required by law or expressly stated at the time of purchase, all fees are non-refundable. We may change our prices on a going-forward basis.
5. Your content
You may provide information, text, images, and other materials to Herosite ("Your Content"), including the answers and business details you submit during the interview. You retain ownership of Your Content. You grant Intoria a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and process Your Content as needed to operate and improve the Service, including by transmitting it to the third-party AI providers that generate your assets. You represent and warrant that you own or have all rights necessary to submit Your Content, and that it does not infringe any third party's rights or violate any law.
6. AI-generated assets and ownership
Herosite uses third-party artificial intelligence services (including Google's Gemini and Imagen) to generate logos, copy, images, and websites ("Generated Assets") from your inputs. Subject to your full payment and to the terms of the underlying AI providers, you own the final Generated Assets you purchase, and we assign to you whatever rights we hold in them. You should understand the following:
- No uniqueness or exclusivity. AI systems can produce similar or identical results for different users. We do not guarantee that any Generated Asset is original or unique, or that another user will not receive something similar.
- Clearance is your responsibility. We do not perform trademark, copyright, or other clearance searches, and we do not warrant that a Generated Asset is available to use or register, or that it does not infringe a third party's rights. Before using a logo or other asset commercially, you are responsible for your own clearance and legal advice.
- Accuracy. AI-generated copy and content may be inaccurate, incomplete, or unsuitable. You are responsible for reviewing all Generated Assets before use.
- Our use. You grant us a license to store and use Generated Assets to operate the Service and, in anonymized or aggregated form, to improve our products.
- Marketing. You grant Intoria a non-exclusive, worldwide, royalty-free license to use, reproduce, and display the logos, websites, and other Generated Assets we create for you, together with your business name, as examples of our work for marketing and promotional purposes, including on our website, in portfolios and case studies, in advertising, and on social media.
7. Acceptable use
You agree not to use Herosite to create, publish, or host content that is unlawful, infringing, deceptive, defamatory, harmful, hateful, or that exploits minors, or that violates any third party's rights or any law. You also agree not to: misuse or interfere with the Service; attempt to gain unauthorized access; reverse engineer or scrape the Service; resell or sublicense the Service without our permission; or use the Service to build a competing product. We may remove content and suspend or terminate access for any violation.
8. Hosted websites
If Herosite publishes and hosts a website for you, you remain solely responsible for that website's content and for its compliance with all applicable laws, including privacy, consumer-protection, and advertising laws. We do not monitor citizen websites, but we may remove content or suspend a site that we believe violates these Terms or the law, or in response to a valid legal request or takedown notice. We do not guarantee that hosting will be uninterrupted, secure, or error-free.
9. Third-party services
Herosite relies on third-party services, including Google (Gemini, Imagen, Fonts), Stripe, Amazon Web Services, and others. Your use of the Service may be subject to those providers' terms, and we are not responsible for their availability, accuracy, acts, or omissions.
10. Our intellectual property
The Herosite platform, software, design, templates, trademarks, and all related intellectual property are and remain owned by Intoria and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. Nothing in these Terms transfers any ownership of our intellectual property to you, except for the Generated Assets as described above.
11. Disclaimers
THE SERVICE AND ALL GENERATED ASSETS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, INTORIA DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR GENERATED ASSETS WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, UNIQUE, OR FIT FOR YOUR PURPOSES. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICE AND ANY GENERATED ASSETS.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, INTORIA AND ITS OWNERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY GENERATED ASSET, EVEN IF ADVISED OF THE POSSIBILITY. IN ALL CASES, INTORIA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THE ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify, defend, and hold harmless Intoria and its owners, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to: your use of the Service; Your Content; any website or Generated Asset you publish or use, including any trademark, copyright, or other infringement claim; your violation of these Terms; or your violation of any law or third-party right.
14. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, including for any violation of these Terms. You may stop using the Service at any time. On termination, your right to use the Service ends, and we may delete your account, content, hosted website, and Generated Assets. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect means you accept the updated Terms.
16. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to the arbitration agreement in Section 17, any dispute not resolved by arbitration will be brought exclusively in the courts located in Alberta, except where applicable law gives you the right to bring a claim elsewhere.
17. Dispute resolution; binding arbitration; class-action waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT, WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, AND LETS YOU OPT OUT WITHIN 30 DAYS.
Informal resolution first. Before starting an arbitration or court proceeding, you agree to first email us at legal@herosite.com with a description of your dispute and to try to resolve it informally for at least 30 days. Many disputes can be resolved this way.
Agreement to arbitrate. Except for the exceptions below, you and Intoria agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, to the fullest extent permitted by applicable law, rather than in court. For users in the United States, this arbitration agreement is governed by the Federal Arbitration Act, and the arbitration will be administered by the American Arbitration Association (AAA) under its rules then in effect (including its Consumer Arbitration Rules where applicable); the arbitration may take place in the US state where you reside or by videoconference. For users outside the United States, arbitration applies to the extent permitted by the laws of your jurisdiction.
Class-action and jury-trial waiver. To the fullest extent permitted by law, you and Intoria each waive any right to a trial by jury and any right to bring, join, or participate in a class, collective, consolidated, or representative action. Disputes must be brought only in an individual capacity. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.
Exceptions. Either party may (a) bring an individual claim in a small-claims court that has jurisdiction, and (b) seek injunctive or other equitable relief in court to protect its intellectual property or to stop unauthorized use of the Service. These matters are not subject to the agreement to arbitrate.
30-day opt-out. You may opt out of this arbitration agreement by emailing legal@herosite.com within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out will not affect any other part of these Terms.
Severability. If any part of this Section 17 is found unenforceable, the remaining parts stay in effect, except that if the class-action and representative-action waiver is found unenforceable as to a particular dispute, then this entire Section 17 will not apply to that dispute, which will instead proceed in the courts described in Section 16.
Limits. Nothing in this Section 17 waives or limits any right that cannot be waived or limited under the consumer-protection or other mandatory laws that apply to you.
18. General
These Terms, together with our Privacy Policy and any terms presented at the point of purchase, are the entire agreement between you and Intoria regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure caused by events beyond our reasonable control.
